First, Microsoft supports the OpenAI board moving forward with formation of a public benefit corporation (PBC) and recapitalization. Following the recapitalization, Microsoft holds an investment in OpenAI Group PBC valued at approximately $135 billion, representing roughly 27 percent on an as-converted diluted basis, inclusive of all owners—employees, investors, and the OpenAI Foundation.
The new agreement formalizes the old reality. Microsoft has exclusive rights to OpenAI's technology in its cloud, Azure, until someone declares they've built a god-like artificial general intelligence. That declaration now requires a panel of independent experts to agree. It’s a clever bit of future-proofing for a deal that could be worth trillions.
The stability is the story. In a sector defined by hype and sudden shifts, this one arrangement looks permanent. Microsoft gets its models.
OpenAI gets its primary customer and a vast computing platform. Both companies are free to work on other projects, but the core link is locked in.
For every other cloud provider and AI lab, this is the immovable object. The frontier models, for now, will run through Redmond.
